Terms of Service

These Terms of Service ("Terms") govern your use of the Provisio Sigil platform and website (the "Service"). The Service is operated by A2Z Holdings KS, LLC, a Kansas limited liability company, doing business as "Provisio Sigil" ("Provisio Sigil," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have authority to do so.
These Terms work together with our Privacy Policy, our Acceptable Use Policy, and, where a signed or click-through data processing agreement applies, our Data Processing Agreement, available on request at dev@provisiosigil.com.
1. The Service
Provisio Sigil is a platform where you build, govern, and deploy AI agents. The Service includes:
- A guided workflow for defining and configuring AI agents.
- Compliance guidance and coverage signals to help you build safer agents.
- An AI Co-Pilot that helps you set up and refine your agents.
- Tools to connect your own AI provider keys and your own third-party connectors.
- Agent deployment and management.
You bring your own AI provider key ("BYOA") and connect the third-party services you choose. Your deployed agents run on the AI provider and key you select. See Section 7 (Your AI Provider Key) and Section 9 (Third-Party Services and Connectors).
2. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information.
- Keep your account credentials secure.
- Tell us right away if you learn of any unauthorized use of your account.
- Take responsibility for all activity under your account.
You must be at least 18 years old and have the authority to bind your organization to these Terms. The Service is intended for business use. You represent that you are using it for business purposes, whether for your own business or for an organization you represent, and not for personal, family, or household purposes.
3. Subscription and Payment
Paid Plans
The Service is available by subscription. Current pricing is published at provisiosigil.com/pricing.
- Subscriptions are billed in advance on the interval shown at signup.
- Payment is processed by our third-party payment processor, Stripe. You authorize recurring charges to your payment method.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing interval, the same interval you signed up for, until you cancel. When your subscription renews, we charge the payment method you have on file at the then-current rate for your plan. For founding members, the then-current rate is your locked founding rate during your 12-month founding period, and standard Pro pricing after it ends, as described under Founding Member Pricing below.
- How to cancel. You can cancel at any time from your account settings, using the same online method you used to subscribe. Cancellation takes effect at the end of your current paid interval, so you keep access until then and are not charged for the next interval. If you need help cancelling, email dev@provisiosigil.com.
- Renewal and billing notices. We send subscription notices by email to the address on your account. These include your subscription acknowledgment, notice before any change to your rate, and any renewal reminders required for your plan. Keep your email address current so you receive them.
- Prices may change with 30 days' written notice. During your 12-month founding period, a price change does not affect your locked founding rate.
Founding Member Pricing
Early signups can claim founding member pricing: 50% off the Pro plan for the first 12 months. Your founding rate is locked for that 12-month term.
When the 12-month founding period ends, your subscription moves to standard Pro pricing, published at provisiosigil.com/pricing. We will tell you before your rate changes.
Founding member pricing is a limited offer. We may change or end the availability of founding pricing for new signups at any time. If you are already enrolled at the founding rate, you keep it for the rest of your locked 12-month term.
Cancellation and Refunds
You may cancel your subscription at any time. When you cancel, your access continues through the end of the current billing period. All payments are final and non-refundable. You may request an export of your data by contacting us, and we will provide it in a standard format within 30 days.
Authorized Users and Account Sharing
A subscription is for one Authorized User. The Authorized User is the single named individual who registers the account and is named on it (the "Subscriber," when the account is held for a business). Your login is personal to that Authorized User and may not be shared. Unless you hold a Team Agreement with us, you may not:
- let more than one person use a single subscription, share a login, or pool one subscription across colleagues or a team;
- create a single account that several people sign in to, or hand your credentials to anyone else;
- transfer your subscription to another person, except that a business may reassign a subscription from a departing employee to a replacement employee, so that only one Authorized User uses it at a time.
Using the Service for a business, or on behalf of an organization you represent, does not entitle more than one person to use a single subscription. Each additional person who needs access needs their own subscription, or a Team Agreement. See "Team and Corporate Agreements" below. If we find that a single subscription is being used by more than one person, we may treat it as described in "Enforcement" below.
Team and Corporate Agreements
If you want more than one person to use the Service, or you want to build or run agents for your clients or for other organizations, that is welcome, and it needs a Team Agreement rather than a standard subscription. A "Team Agreement" is a separate written agreement between you and us that covers team, multi-user, agency, partner, reseller, or on-behalf-of-clients use, on terms and pricing we agree with you. To set one up, email dev@provisiosigil.com. Until a Team Agreement is in place, your use stays within the limits of a standard single-user subscription described above.
4. Your Data and Content
Ownership
You keep all rights to the data, configurations, uploaded knowledge, and other content you create or provide through the Service ("Your Content"). We do not claim ownership of Your Content.
License to Us
You grant us a limited license to host, process, and display Your Content only as needed to provide the Service. This license ends when you delete Your Content or close your account, except for backups or records we are required to keep for a limited time.
Our Commitment
- We access Your Content only as needed to provide the Service or to respond to your support requests.
- We do not use Your Content to train AI or machine learning models.
- We share Your Content only as described in our Privacy Policy.
Data Portability
You may request an export of your data, including your agent configurations and compliance results, by contacting us at dev@provisiosigil.com. We will provide it in a standard format within 30 days.
Data Deletion
When you close your account or ask us to delete Your Content, we will delete it within 30 days of your request, except for backups or records we are required to keep. Aggregated, de-identified usage statistics may be retained.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is part of these Terms. You are responsible for making sure your own users and your deployed agents follow that policy. We may suspend or end access for conduct that violates it.
6. AI Agents and Outputs
You are responsible for the AI agents you build and deploy, for how they behave, and for the results they produce. You are also responsible for your relationship with your own end users and for their data.
- Outputs are "as is." AI systems can produce results that are wrong, incomplete, biased, or out of date. We do not warrant the accuracy, reliability, availability, or fitness of any agent output.
- You control deployment. You decide what your agents do, what data they can reach, and where they run. You are responsible for reviewing agent behavior before and during production use.
- You are the controller for your end-user data. Where your deployed agents handle data from your own end users, you act as the controller for that data and are responsible for having the right notices, consents, and legal basis. Our Data Processing Agreement covers this relationship and is available on request.
- Human oversight. You are responsible for keeping appropriate human oversight, especially for high-stakes or regulated decisions. See the Acceptable Use Policy.
7. Your AI Provider Key
When you connect an AI provider key, we use it only to run your own agents. Your key stays tied to your account. We never share it and never use it to train AI models. Your key is held in an encrypted store (encrypted at rest).
Your use of your chosen AI provider is also governed by that provider's own terms. You are responsible for keeping your provider account in good standing and for any usage charges the provider bills to you.
8. Compliance Coverage and Scores
Provisio Sigil gives you compliance guidance and coverage signals to help you build safer agents. It is not a certification, an audit, or legal advice.
Our coverage signals are there to guide you, and they may not identify every risk in every setup. A strong score does not mean your agent is certified for, or compliant with, any framework or regulation. You are responsible for verifying your own compliance and for getting qualified legal or compliance advice where you need it.
We update our guidance over time, and it may not always reflect the latest regulatory changes.
9. Third-Party Services and Connectors
The Service lets you connect third-party services and connectors that you choose (for example identity providers, cloud storage, code hosting, and other tools). When you authorize a connector, you allow your agents and workflows to read or write data through it based on the permissions you grant.
Your use of any third-party service is governed by that service's own terms. We are not responsible for the availability, accuracy, security, or conduct of third-party services, or for how they handle data once it reaches them. You are responsible for following each connected service's terms, including its rate limits and usage rules.
10. Intellectual Property
Our IP
The Service, including its software, design, documentation, and brand, is the intellectual property of A2Z Holdings KS, LLC (doing business as Provisio Sigil) and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
Permitted Use
Your subscription lets you use the Service for your own benefit, meaning for you or, where the account is held for a business, for that one business's own internal purposes and its own agents. It does not let you use the Service to provide a product or service to other people or organizations as if it were your own. If you want to build or run agents for clients, or offer the Service to others, you need a Team Agreement. See "Team and Corporate Agreements" in Section 3.
Restrictions
You may not:
- copy, modify, or create derivative works of the Service;
- reverse engineer, decompile, disassemble, or otherwise attempt to extract the Service's source code, models, scoring logic, or prompts;
- scrape, crawl, or bulk-extract content or data from the Service;
- use the Service to build a competing product or service;
- circumvent usage limits, metering, or security controls;
- remove or alter any proprietary notices;
- resell, sublicense, rent, lease, or otherwise make the Service available to any third party, whether for a fee or free;
- use the Service as a service bureau, or to build, run, host, or manage agents on behalf of, or for the benefit of, any third party or client, or offer the Service to others on a white-label or "powered by" basis.
These restrictions apply except to the extent the law expressly permits an activity despite this agreement.
Feedback
If you give us feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use that feedback to improve the Service. We are not obligated to act on any feedback.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any agent output or compliance signal will be accurate.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if we were advised such damages were possible.
- Our total liability for all claims relating to the Service is limited to the fees you actually paid us in the 12 months before the event giving rise to the claim. If you paid us nothing in that period (for example, during free plan use), our total liability is zero.
- We are not responsible for decisions you make based on compliance signals, scores, or other output from the Service, or for the behavior of the agents you deploy.
Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless A2Z Holdings KS, LLC (doing business as Provisio Sigil) and its officers, members, and employees from claims, damages, losses, and expenses (including reasonable attorney fees) arising from: (a) your use of the Service, (b) your violation of these Terms or the Acceptable Use Policy, (c) your violation of any law or the rights of a third party, (d) the behavior of the AI agents you deploy, or (e) your handling of your end users' data.
13. Termination
By You
You may close your account at any time through your account settings or by contacting us.
By Us
We may suspend or end your access if you:
- Violate these Terms or the Acceptable Use Policy.
- Fail to pay fees when due.
- Engage in activity that harms the Service or other users.
- Have not used the Service for 12 or more consecutive months.
We will give reasonable notice before ending access, except for serious violations or where the law requires otherwise.
Unauthorized Use of a Subscription
If you use a subscription in a way these Terms do not allow, for example by sharing it across more than one person, or by using it to build or run agents for clients or other third parties without a Team Agreement, we may, in addition to the steps in "By Us" above and in the Acceptable Use Policy, ask you to move to the right plan or Team Agreement, charge for the additional subscriptions or usage that the unauthorized use should have been covered by, at our then-current rates, or suspend or end the affected account. We will give reasonable notice and a chance to fix the issue before charging or ending access, except for serious or repeated cases. Amounts already paid are non-refundable as described in Section 3.
Effect of Termination
When your access ends, your right to use the Service stops. You may export Your Content before termination where the Service is still available to you. Sections 4, 6, 7, 8, 10, 11, 12, and 14 survive termination, along with any other terms that by their nature should survive.
14. Dispute Resolution, Arbitration, and Class Waiver
Please read this section carefully. It affects how disputes between you and us are resolved and includes an arbitration agreement and a class-action waiver.
Governing Law
These Terms are governed by the laws of the State of Kansas, United States, without regard to conflict-of-law principles.
Informal Resolution First
Before starting arbitration, you agree to contact us at dev@provisiosigil.com and try to resolve the issue informally for at least 30 days.
Binding Arbitration
If we cannot resolve a dispute informally, you and we agree to resolve it by binding individual arbitration, rather than in court, except as stated in the carve-outs below. Arbitration will be administered by the American Arbitration Association (AAA) under its rules then in effect. The arbitration will take place in the State of Kansas or by remote means where allowed, and judgment on the award may be entered in any court with jurisdiction.
Small-Claims Carve-Out
Either party may bring an individual claim in a small-claims court that has jurisdiction, instead of arbitration, as long as the matter stays in that court and is brought only on an individual basis.
Class-Action Waiver
You and we agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.
30-Day Opt-Out
You may opt out of this arbitration agreement and class-action waiver. To opt out, email dev@provisiosigil.com within 30 days of first accepting these Terms, and include your name, your account email, and a clear statement that you want to opt out of arbitration. If you opt out, the "Court Venue" paragraph below applies to your disputes instead of arbitration.
Court Venue (if arbitration does not apply)
For any dispute not subject to arbitration (including if you opt out, or for matters the arbitration agreement does not cover), you and we agree to the exclusive jurisdiction of the state and federal courts located in the State of Kansas.
15. General
- Entire Agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any applicable Data Processing Agreement, are the entire agreement between you and us about the Service.
- Severability. If any provision is found unenforceable, the rest stays in full force.
- No Waiver. If we do not enforce a provision, that is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We will send notices to the email address on your account. You are responsible for keeping that address current.
- Customer references. You grant Provisio Sigil a non-exclusive, worldwide, royalty-free license to use your company name and logo to identify you as a customer of the Service, on our website and in marketing materials. Before the first time we use your name or logo publicly, we will let you know, and you can decline. We will follow any written brand guidelines you provide, and any case study, testimonial, or quote attributed to you needs your approval of the final content before we publish it. You can withdraw this permission at any time by emailing dev@provisiosigil.com, and we will stop using your name and logo in new materials within thirty (30) days. Nothing here lets us state or imply that you endorse any specific claim without your prior written consent.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect means you accept the updated Terms.
